She brings in-house legal experience to the firm
Aviation and business law expert Andrea Sepinwall has joined McMillan LLP as a partner in its Montréal office.
She commenced with the firm on April 28, bringing more than 20 years of commercial and finance law experience gleaned from both private practice and in-house roles. Her practice focuses on aircraft leasing, finance and maintenance, and commercial aviation agreements.
Sepinwall has drafted and negotiated complex aviation-related agreements such as aircraft, engine, aircraft simulator and parts sale and purchase agreements, leases, financing, and maintenance agreements. She has also tackled mergers and acquisitions, procurement agreements, logistics, sales and IT agreements, and commercial real estate and corporate finance agreements.
Her clients have included major commercial airlines and lessors, owners and operators of private jets, fixed based operators, maintenance providers, and banks. She has worked in the forest products industry and handled matters related to asset finance and secured lending and procurement.
Sepinwall drafted and negotiated the first Canadian pre-delivery payment aircraft financing in respect of certain Boeing B777 aircraft. She also drafted and negotiated all transaction documents related to the provision of on-board entertainment for a major Canadian airline. Moreover, she spearheaded the drafting and negotiation of a portfolio of asset-backed loan and security agreements and all procurement agreements for a major North American forestry company.
According to LinkedIn, she was aircraft finance and leasing counsel for Air Canada from January 2007 to August 2016. She joined Simplex Legal, where she was senior corporate counsel, in August 2016.
From September 2005 to December 2006, Sepinwall logged a stint at Norton Rose in Paris as an attorney focusing on aircraft finance and leasing. From August 2004 to July 2005, she also worked briefly in Botswana as a visiting attorney for Collins Newman & Co, handling general corporate and commercial files, construction files, and corporate finance.
She was called to the New York State Bar in 2005, the Ontario Bar in 2017, and the Québec Bar in 2021.
