Saint-Gobain has finalized a deal to acquire The Bailey Group of Companies, including Bailey-Hunt Limited and its subsidiaries, for C$880 million (around €600 million) in cash. Bailey, a prominent Canadian metal framing manufacturer, reported C$532 million in sales and a 17.2% EBITDA margin in 2023. With a 75-year history, Bailey boasts 12 manufacturing plants across Canada and approximately 700 employees. The acquisition, aligning with Saint-Gobain’s light construction solutions, aims to strengthen its Canadian market presence, offering comprehensive sustainable and performance-oriented solutions. The purchase price is about 9.6 times Bailey’s 2023 EBITDA, with the price-to-EBITDA ratio reducing to approximately 7.5 after accounting for anticipated synergies of C$26 million by the third year post-acquisition. This acquisition is part of Saint-Gobain’s strategic "Grow & Impact" plan, promising value creation by the third year and immediate earnings per share accretion. The transaction, which is cash-financed and expected to close in the second half of 2024, remains subject to standard closing conditions.
