On April 1, 2024, Nuvei Corporation announced its acquisition by Advent International in a private transaction valued at around $8.5 billion (US$6.3 billion). Supported by key shareholders, including Philip Fayer, Novacap, and CDPQ, the deal will maintain Nuvei's Montreal base. Nuvei, a leading global payments technology provider, reported over $271 billion (US$200 billion) in total processed volume and $1.6 billion (US$1.2 billion) revenue in 2023. Advent, experienced in the payments sector, will help Nuvei scale globally. Fayer will continue as CEO, with the current leadership team remaining post-transaction. The acquisition, at $46.11 (US$34.00) per share, reflects a significant premium over recent trading prices. The transaction is backed unanimously by Nuvei’s board, advised by financial and legal experts, and involves a statutory plan of arrangement, requiring various shareholder approvals and is expected to finalize by early 2025. Legal advisors include Stikeman Elliott LLP, Davis Polk & Wardwell LLP for Nuvei, and Kirkland & Ellis LLP, Blake, Cassels & Graydon LLP for Advent, among others, indicating a well-supported and strategically planned acquisition process.
