Rogers Communications Inc. (RCI) announced it has priced a public offering of US dollar senior notes totaling $3.4 billion (US$2.5 billion). The offering includes $1.7 billion (US$1.25 billion) of 5.00% senior notes due in 2029 and $1.7 billion (US$1.25 billion) of 5.30% senior notes due in 2034. The net proceeds, approximately $3.3 billion (US$2.46 billion), are intended to repay part of RCI's outstanding debt, including some borrowed for acquiring Shaw Communications Inc. The transaction is set to close on February 9, 2024.

Issued under a prospectus supplement and prospectus filed with the SEC, the notes are part of an effective shelf registration on Form F-10, accessible through EDGAR on the SEC website. Copies of these documents can also be obtained from RCI's Investor Relations. The offering excludes Canada and Canadian residents, adhering to legal prerequisites to avoid unlawful sales in jurisdictions requiring specific registration or qualification of securities.
