On February 22, 2023, Osisko Metals Incorporated entered into an agreement with Appian Natural Resources Fund III LP, advised by Appian Capital Advisory LLP, to form a joint venture advancing the Pine Point Project. Appian committed to investing C$100 million over four years, acquiring a 60% stake in Pine Point Mining Limited (PPML), valued at C$91.3 million pre-money. The investment includes C$75.3 million for project development and C$24.7 million in cash payments to Osisko Metals. Additionally, Appian will invest C$5 million in Osisko Metals' common shares. Maxit Capital LP provided a fairness opinion, and the transaction was unanimously approved by Osisko Metals' board, advised by Bennett Jones LLP. Appian's legal counsel was McCarthy Tétrault LLP. The deal, pending shareholder and stock exchange approvals, includes a non-solicitation clause and a C$4.5 million termination fee.
