CGI agrees to acquire Umanis for €310 million proposed transaction
On March 11, 2022, CGI announced the planned acquisition of Umanis, a French digital services company, for an estimated C$464 million (€310 million), a substantial premium on the recent share value. CGI France SAS, a subsidiary, will initially purchase around 70.6% of Umanis' shares from MURA and Mr. Olivier Pouligny at C$25.70 (€17.15) per share, with intentions to extend an offer for the remaining shares. The transaction is set to complete by Q2 2022, pending regulatory approvals and a positive assessment from Umanis' board, which has appointed Crowe HAF as the independent expert for a fairness opinion. This strategic move aims to enhance CGI's European market presence, aligning with its growth strategies. Société Générale and Bredin Prat are CGI's financial and legal advisors, respectively, while Crédit Agricole and Darrois Villey Maillot Brochier advise Umanis and Mura. The anticipation of the acquisition has led to the suspension of Umanis' share trading, which will resume on March 14, 2022.
