Neighbourly to acquire Rubicon Pharmacies for $435 million

On March 11, 2022, Neighbourly Pharmacy Inc. acquired Rubicon Pharmacies for $435 million, aiming to boost revenues and EBITDA by 62% and 70%, respectively. This strategic move will nearly double Neighbourly's size, expanding its footprint from Manitoba to British Columbia, with the inclusion of 100 Rubicon locations. The transaction will be funded through a $250 million equity issuance and the Company's credit facilities. Neighbourly, emphasizing patient-focused care, will welcome over 1,500 Rubicon employees into its fold. The acquisition is scheduled to close in the second quarter of 2022, subject to regulatory approvals. Rubicon's portfolio, primarily located in rural Western Canada, complements Neighbourly's existing operations. Additionally, cost synergies of approximately $2.5 million are expected shortly after the acquisition's completion. Legal advisement for the acquisition was provided by Minden Gross LLP and Stikeman Elliott LLP for Neighbourly, with McCarthy Tétrault LLP advising the underwriters. Financial advisory roles were filled by RBC and Scotiabank, who are also managing the public offering as joint-bookrunners. The acquisition, offering, and related transactions have received the necessary board approvals and are subject to standard closing conditions.
