Lionsgate Completes eOne Acquisition for C$500 million

On December 27, 2023, Lionsgate completed its acquisition of eOne, a global entertainment platform, from Hasbro. This transaction involved Lionsgate purchasing eOne for C$500 million (US$375 million) in cash, along with adjustments to the purchase price and the assumption of eOne's production financing loans. The acquisition significantly enhances Lionsgate's media library, adding over 6,500 film and television titles, thereby making it one of the world's largest and most valuable collections.

This strategic move not only diversifies Lionsgate's portfolio in both scripted and unscripted television sectors but also strengthens its footprint in the industry. It extends Lionsgate's range of brands and franchises and broadens its presence in key markets such as Canada and the UK. Among eOne's notable productions are the popular ABC franchise "The Rookie," the acclaimed Showtime series "Yellowjackets," and Discovery's long-standing unscripted series "Naked & Afraid." Additionally, the acquisition includes film development rights to Hasbro's iconic Monopoly brand.

Lionsgate CEO Jon Feltheimer commented on the acquisition, noting its significance in a year marked by strategic efforts to reinforce Lionsgate's studio business. This move comes as part of the preparation for the planned separation of Lionsgate and STARZ into independent entities. Feltheimer expressed confidence in the acquisition, highlighting the anticipated value and positive impact of eOne on Lionsgate's operations. He also welcomed eOne's talented employees into the Lionsgate family.

Lionsgate received legal advice for this transaction from Sheppard Mullin and Denton's Canada LLP. Cravath, Swaine & Moore LLP, Mayer Brown International LLP and Stikeman Elliott LLP acted as legal counsel to Hasbro and Osler, Hoskin & Harcourt LLP acted as legal counsel to Entertainment One Canada Limited.
