On March 27, 2023, Black Swan Graphene Inc. and Nationwide Engineering Research and Development Ltd. (NERD) announced a strategic partnership to advance the global adoption of graphene-enhanced concrete. Integral to this collaboration is an equity swap, wherein both companies will own roughly 5% of each other's shares. Concurrently, Arup Group Limited, a London-based engineering consultancy operating in 140 countries, is set to acquire a 4.2% stake in NERD. NERD has pioneered Concretene™, a graphene admixture that amplifies concrete strength and substantially decreases its carbon footprint, a pivotal innovation given that cement production accounts for approximately 8% of global CO2 emissions. Black Swan, launched in 2021, produces high-performance graphene powders optimized for the concrete sector and is looking to expand its production in Quebec. The collaboration between Arup and NERD emphasizes the worldwide deployment of this innovative concrete technology. In terms of transaction value, NERD will issue shares to Black Swan at around £1.58 million or approximately CAD$2.65M. Paradigm Capital stands as Black Swan's advisor with Davies Ward Phillips & Vineberg and Withers LLP serving as legal counsels for Black Swan and NERD respectively. By April 6, 2023, both parties have concluded the Equity Swap and Supply Agreement.
