Sleep Country acquires Canadian assets of Casper for $20.6 million

On April 14, 2023, Sleep Country Canada Holdings Inc., a prominent specialty sleep retailer in Canada, has successfully concluded its acquisition of the Canadian assets of Casper Sleep Inc., a trailblazing mattress retailer in North America, for US$20.6 million ( 27,832,495.20 CAD) in cash. In addition, Sleep Country invested US$20 million in five-year convertible notes, which can transform into approximately 5% of Casper Sleep Inc.'s shares. Over the next four years, Casper Sleep Inc. will pay Sleep Country a cumulative US$4.5 million marketing transition fee, and Sleep Country has obtained three-year warrants that, when exercised, translate into a roughly 1% stake in Casper Sleep Inc. As of now, Sleep Country will fully control and own Casper Sleep Inc.'s retail and online operations in Canada. Both CEOs, Stewart Schaefer of Sleep Country and Emilie Arel of Casper, have expressed their enthusiasm and future growth prospects with this acquisition.
