On Dec. 29, 2022, renewable energy leader Boralex Inc. finalized its acquisition of EDF Renewables North America’s stake in five wind farms located in Texas and New Mexico. The combined capacity of these farms is 894 megawatts (MW), with EDF Renewables contributing 447 MW. This boosts Boralex's global capacity to 2,956 MW, aligning with its 2025 Strategic Plan. This acquisition also marks Boralex's entry into the ERCOT (Electric Reliability Council of Texas) and SPP (Southwest Power Pool) markets, expanding its U.S. presence. EDF Renewables sees this divestment as a strategic move to recalibrate its North American portfolio. Financially, the transaction stands at CA$339.7M, converted from its original US$249.8M. Boralex will utilize its available cash reserves for this purchase, with the portfolio having no outstanding project debt. The acquisition includes projects with both long-term and short-term power purchase agreements (PPAs). By 2023, Boralex expects a CA$39M EBITDA contribution from this acquisition, and a discretionary cash flow boost of approximately CA$25M or CA$0.24 per share, signifying a 19% increase from 2021. Built between 2014 and 2016 by EDF Renewables, the wind farms will complement Boralex’s existing U.S. solar and hydro power generation. The transaction was facilitated by several advisory firms, including J.P. Morgan and Amis, Patel and Brewers.
