On February 20, 2025, Valvoline Inc., a top preventive automotive maintenance provider with over 2,000 locations across the U.S. and Canada, signed a definitive agreement to acquire Breeze Autocare from Greenbriar Equity Group, L.P. Although the transaction value was not disclosed, the deal marks a strategic move to enhance Valvoline’s cross-border service presence.

Founded in 1984, Breeze Autocare operates a nationwide network offering quick lube, car wash, and light repair services via its “stay-in-car” model, emphasizing speed, quality, and convenience. Since Greenbriar’s investment in 2021, Breeze has significantly scaled through new site development and acquisitions, growing to serve more than 1.8 million customers annually. Under Greenbriar’s ownership, Breeze evolved from a regional player to a tech-enabled national competitor positioned for continued North American expansion.

Eric Frankenberger, President and CEO of Breeze, acknowledged Greenbriar’s role in scaling the business and supporting team and market development. Matt Burke, Managing Director at Greenbriar, highlighted the company’s operational excellence and growth trajectory, expressing confidence in Breeze’s ongoing success within the Valvoline platform.

Jefferies LLC acted as lead financial advisor to Breeze, supported by Piper Sandler & Co., while Kirkland & Ellis LLP served as legal counsel. Valvoline was advised by Morgan Stanley & Co. LLC and legal counsel was provided by Squire Patton Boggs (US) LLP. The acquisition is expected to bolster Valvoline’s service capabilities in both the U.S. and Canadian markets.
