Brookfield Infrastructure and Renewable Partners complete corporate reorganizations

On December 24, 2024, Brookfield Infrastructure Partners L.P. (“BIP”) and Brookfield Renewable Partners L.P. (“BEP”) completed separate reorganizations with their respective corporate entities, Brookfield Infrastructure Corporation (“BIPC”) and Brookfield Renewable Corporation (“BEPC”). The reorganizations, conducted through court-approved plans of arrangement and requiring shareholder approval, addressed proposed amendments to the Income Tax Act (Canada) that could have increased costs for BIPC and BEPC.

Shareholders of BIPC and BEPC automatically received new class A exchangeable shares, maintaining the same economic benefits and governance. The shares continue to trade on the Toronto Stock Exchange and New York Stock Exchange under the symbols “BIPC” and “BEPC,” respectively.

Torys LLP acted as Canadian and U.S. counsel to Brookfield Infrastructure, led by Karrin Powys-Lybbe.
