Jade Power to sell renewable energy assets to Austrian-based Enery for $93.7 million
Jade Power Trust sold its renewable energy assets to Enery Power Holding GmbH for $93.7 million. Aird & Berlis LLP and Wolf Theiss provided legal counsel to Jade Power in Canada and Romania, respectively. DLA Piper (Canada) LLP and Haywood Securities Inc. advised the Trust's Special Committee and Board. Enery's legal and M&A advisory was handled by Schoenherr Attorneys At Law and Unicredit Group.
Executives Ravi Sood and James Colter Eadie of Jade Power recounted the company's growth from no assets in 2014 to acquiring a substantial portfolio through strategic acquisitions and financings, leading to a sale that more than doubled the per MW acquisition cost of its 2018 purchase. The Trust transitioned from a $96.5 million net debt to a positive cash stance in four years.
Enery's leadership, represented by Richard König and Lukas Nemec, expressed that the acquisition signifies their entry into Romanian renewable energy production, with plans to distribute electricity via long-term agreements to Romanian industries at competitive prices. They acknowledged their team's efforts in achieving this transaction despite market challenges and emphasized their intent to expand in the Romanian electricity market.
