On November 4, 2024, Air Transport Services Group, Inc. (ATSG) announced a definitive agreement to be acquired by Stonepeak, an alternative investment firm specializing in infrastructure and real assets. The all-cash transaction values ATSG at approximately $3.1 billion, with shareholders receiving $22.50 per share - a 29.3 percent premium over ATSG's closing share price on November 1, 2024.

Upon completion, ATSG will become a private company, and its shares will no longer trade on NASDAQ.

This strategic move allows Stonepeak to expand its portfolio in the transportation and logistics sector, capitalizing on the growing demand for air cargo services. For ATSG, the partnership with Stonepeak is anticipated to provide resources and support to enhance its service offerings and global presence.

The acquisition is expected to close in the first half of 2025, subject to customary closing conditions, including shareholder and regulatory approvals.
