Stellantis invests $192 million in McEwen Copper for Los Azules Project

Stellantis, through its subsidiary FCA Argentina S.A., completed an ARS $30 billion (CAD $192 million) investment in McEwen Copper Inc., a subsidiary of McEwen Mining Inc., on February 24, 2023. The investment comprised a private placement of 2,850,000 common shares and a secondary purchase of 1,250,000 shares indirectly owned by McEwen Mining. This transaction aimed to advance the Los Azules copper project in San Juan, Argentina, and support general corporate activities. The investment valued McEwen Copper at approximately USD $550 million (CAD $742.5 million).

Following the transaction, Stellantis owned 14.2% of McEwen Copper, while McEwen Mining retained a 51.9% stake on a fully diluted basis. Stellantis' investment aligned with its goal to reach carbon net-zero by 2038, ensuring access to clean energy and raw materials for its global plans. McEwen Copper entered into an Investor Rights Agreement and a Copper Cathodes and Concentrates Purchase Rights Agreement with Stellantis, granting Stellantis board representation, information rights, and pre-emptive rights in future equity offerings. The agreements also included an option for Stellantis to purchase copper output proportional to its equity stake.
