On August 13, 2024, Clayton, Dubilier & Rice (CD&R) and CVC announced CVC's acquisition of a significant ownership stake in Epicor, a global provider of industry-specific enterprise resource planning (ERP) software. The deal expands Epicor's global presence, including its operations in Canada. Epicor offers SaaS and ERP solutions to manufacturing, distribution, and retail sectors across North America, including Canada, serving over 23,000 customers in 150 countries.

CD&R and CVC will share equal board representation, with Jeff Hawn remaining Chairman and Steve Murphy continuing as CEO. Since CD&R's 2020 investment, Epicor has grown significantly, surpassing $1 billion in annual recurring revenue and undergoing a successful SaaS transformation.

Barclays served as the lead financial advisor, with Goldman Sachs advising CD&R and Epicor. Debevoise & Plimpton provided legal counsel to CD&R, while CVC was advised by Jefferies, Evercore, and White & Case.

The transaction is expected to close in Q4 2024, subject to customary conditions?
