On July 12, 2022, 123Dentist, Altima Dental, and Lapointe Group merged to create one of Canada’s largest dental support organizations, with nearly 350 supported practices. The transaction was financed by 123Dentist’s partner, Peloton Capital Management, alongside new investors KKR, Heartland Dental, and Sentinel Capital Partners. The merger aims to expand 123Dentist's dentist-first, patient-focused growth strategy, promoting clinic-level ownership and high-quality care. The combined organization will serve over 800,000 patients, with more than 2.5 million visits annually.

RBC Capital Markets acted as financial advisor to 123Dentist, while KPMG LLP and E&Y LLP provided accounting and tax advisory services. Torys LLP served as legal advisor, and Miller Thomson LLP provided corporate legal support. Altima Dental was advised by Houlihan Lokey, with legal advice from Stikeman Elliott LLP and Kirkland & Ellis LLP, and tax advice from Grant Thornton LLP.

The deal was subject to closing conditions, including approval under Canada’s Competition Act, and was expected to close in Q3 2022.
