On August 1, 2024, Caesars Entertainment, Inc. signed a definitive agreement to sell its intellectual property rights for the World Series of Poker® (WSOP) brand to NSUS Group Inc. for a total of US$500 million (approximately CAD 670 million). The transaction included US$250 million (around CAD 335 million) in cash and a US$250 million promissory note, due five years post-closing. As part of the deal, Caesars secured the right to continue hosting WSOP’s live tournament series at its Las Vegas properties for the next 20 years. Caesars’ poker rooms will retain WSOP branding, and the company will continue to host live WSOP Circuit events. Additionally, Caesars Digital will receive a license from NSUS to operate the WSOP Online poker business in select U.S. states.

The transaction is expected to close by the end of 2024, pending regulatory approvals. Kirkland & Ellis LLP acted as transactional counsel, and Latham & Watkins LLP provided finance counsel for Caesars. NSUS was represented by Borden Ladner Gervais LLP and Greenberg Traurig, LLP.
