On July 24, 2024, Exclusive Networks, a global cybersecurity leader with operations in Canada, received a binding offer from Clayton Dubilier & Rice (CD&R) and Everest UK HoldCo Limited, controlled by Permira, to acquire a majority stake in the company. The offer was priced at EUR 24.25 per share, including an exceptional distribution of EUR 5.29 per share, valuing the transaction at approximately EUR 3.1 billion (CAD 4.2 billion). Founder Olivier Breittmayer remained a shareholder in the newly formed consortium. The deal was subject to customary regulatory approvals, including antitrust and foreign investment clearances.

Following the acquisition, the consortium plans to launch a simplified mandatory tender offer for the remaining shares, with a potential squeeze-out if legal conditions were met. Exclusive Networks, which has significant business operations in Canada, also plans to refinance its existing debt as part of the transaction. The company's Board of Directors, guided by an ad hoc committee of independent directors, appointed Finexsi as an independent expert to provide fairness and solvency opinions on the offer. The Board welcomed the proposal and intended to issue a final opinion after reviewing the expert’s report.
