On June 1, 2022, Information Services Corporation (ISC) announced its acquisition of Reamined Systems Inc., a property tax management service provider in Ontario, for $45.9 million with customary adjustments. Reamined, which has been a strategic partner to Ontario's government for over 25 years, exclusively supports over 440 municipalities in managing property tax rates and distribution through a provincial contract. The business will be integrated into ISC's Registry Operations segment, complementing ISC’s role in providing critical government services and expanding its presence in the Ontario market. The acquisition is both earnings per share and free cash flow accretive, and it offers a stable and consistent EBITDA margin. It further diversifies ISC's portfolio, enhances its Registry Operations segment, and promises new opportunities in the Ontario public sector. Shawn Peters, ISC's CEO, emphasized the strategic growth and alignment with ISC’s values that Reamined represents. Judy Wong from Reamined expressed enthusiasm about joining ISC, highlighting the synergy of shared values in operational excellence and data integrity. ISC funded the acquisition through a mix of cash and credit, with Stikeman Elliott LLP acting as legal counsel for the transaction. ISC plans to review its 2022 guidance and update the market post the earnings report for the half-year ending June 30, 2022.
