On June 26, 2024, Fondasol Group, a French consulting engineering firm, acquired a 60% stake in Canadian environmental engineering company DEC Enviro. DEC Enviro, forecasted to generate CAD 11 million in sales for 2023, specializes in environmental engineering, geotechnics, materials engineering, hydrogeology, and building sciences. The remaining 40% of DEC Enviro will be held by its head, Kevin Donovan.

The acquisition, announced on June 24, 2024, is part of Fondasol’s strategy to double its North American operations, building on its 2020 acquisition of Solroc. With DEC Enviro, Fondasol’s North American revenue will reach CAD 23 million, supported by 160 employees. This expansion enhances Fondasol's ability to bid on public procurement projects in North America, particularly in the U.S.

The transaction value was undisclosed. Fondasol’s legal advisors included Cornet Vincent Ségurel for corporate matters, Fasken for Canadian legal and tax issues, and EY Société d’avocats for tax law. Allinvest served as the M&A advisor, with financial due diligence by EY TS. Kevin Donovan was advised by BDO and Gowling WLG.

This move supports Fondasol’s growth and diversification strategy, aiming to become a major international player in the innovative market segments of environmental and construction engineering.
