On May 1, 2024, WonderFi Technologies Inc. (TSX: WNDR) (OTCQB: WONDF), Canada's leading operator of regulated crypto trading platforms, announced it entered into a cooperation agreement with Adam Arviv and KAOS Capital Ltd. WonderFi and KAOS mutually agreed to nominate nine directors for election at WonderFi's 2024 annual meeting, rescheduled from May 21 to May 24, 2024.

The nominated directors included Dean Skurka, Bobby Halpern, Noel Biderman, Jaime Leverton, Justin Hartzman, Wendy Rudd, and KAOS nominees Rob Godfrey and Igor Gimelshtein, along with Mogo Inc.'s nominee Kristin McAlister. This agreement aimed to drive long-term value for shareholders, leveraging the expertise and market experience of the nominees.

WonderFi also reached an understanding with Mogo Inc. to maintain a single board seat and entered into a mutual standstill and voting support agreement. Mogo agreed to a managed divestiture of 20 million of its 87 million WonderFi shares.

Legal advisors for WonderFi included Cassels Brock & Blackwell LLP and Goodmans LLP, with Morrow Sodali (Canada) Ltd. and Gagnier Communications LLC as shareholder and strategic communications advisors, respectively. Bennett Jones LLP served as KAOS' legal advisor, Canaccord Genuity Corp. as its financial advisor, and Kingsdale Advisors as its strategic shareholder and communications advisor.
