On November 7, 2022, Avcorp Industries Inc. closed its $139 million acquisition by Latécoère S.A. The acquisition was affected by way of a court-approved plan of arrangement under the Canada Business Corporations Act, pursuant to which Latécoère acquired all the issued and outstanding common shares of Avcorp for considerations of $0.11 in cash per share.
Avcorp, an aerostructures supplier with over 450 employees, produced key components for notable aircraft, including the F-35 and B737 Max, across its North American sites.
This acquisition aligned with Latécoère's strategic growth plan, aimed at enhancing its defense sector footprint and operational capabilities in North America. It followed Latécoère's acquisitions in 2021 and the ongoing purchase of MADES, broadening its service offerings and client base in the aerospace industry. CEO Amandeep Kaler was set to lead Avcorp post-acquisition, maintaining the existing management structure.
Advisors for the deal included RBC Capital Markets, Goodmans LLP, and Kirkland & Ellis LLP for Latécoère, and Fort Capital Partners with McMillan LLP for Avcorp.
