Sandstorm Gold signs pair of acquisitions worth combined US$1.1-billion

On Sandstorm Gold Ltd. announced it has completed two acquisitions totaling CAD1.42 billion (US$1.1 billion). The first acquisition involved Sandstorm purchasing Nomad Royalty Company Ltd. for CAD813 million (US$590 million) through an all-stock transaction. In this deal, Nomad shareholders received 1.21 Sandstorm shares for each share they held. The second acquisition was of a royalty package from BaseCore Metals LP, which Sandstorm secured for CAD723 million (US$525 million), paying CAD585 million (US$425 million) in cash and the remaining CAD138 million (US$100) million in shares. In addition to these acquisitions, Sandstorm partnered with Royalty North Partners Ltd. to sell part of a copper royalty obtained in the BaseCore transaction while retaining a silver stream on the same asset. Following the closure of these deals, the original Sandstorm shareholders will own a 67% stake in the company. The remaining ownership will be distributed between Nomad shareholders at approximately 28% and BaseCore at about 5%.
