On April 25, 2022, Asante Gold Corporation secured a deal to buy Kinross Gold Corporation’s 90% stake in the Chirano Gold Mine for CAD286 million (US$225 million), with the Ghanaian government keeping a 10% interest. The upfront payment included CAD159 million (US$115 million) in cash and CAD69 million (US$50 million) in Asante shares, conditional on Kinross not surpassing a 9.9% ownership in Asante. Additionally, Kinross will receive CAD83 million (US$60 million) in deferred cash over two years. If Kinross hits the ownership cap, the share consideration will be compensated by an equivalent increase in the deferred cash payments. The transaction, slated for completion around May 31, 2022, received approval from the Ghanaian government without financing conditions. Kinross agreed to retain the acquired Asante shares for at least one year post-closing. Dave Anthony, CEO of Asante, highlighted the acquisition as a key step in expanding their West African gold mining operations, stressing the intent to keep Chirano's employees for a smooth ownership transition. Douglas MacQuarrie, Asante's Non-Executive Chairman, noted that the merger of Chirano and Bibiani assets would establish a district-scale gold trend, enhancing exploration potential.
